Collection or use of product listings, descriptions, or pricing for competitive intelligence purposes
Use of EverExpanse's name, logo, or trademarks without prior written consent
Deliverables developed under a signed client engagement may transfer intellectual property rights as specified in the applicable Statement of Work or contract. Absent such agreement, all deliverables remain the intellectual property of EverExpanse.
7. Confidentiality
Each party agrees to maintain the confidentiality of the other party's non-public information disclosed in connection with the use of EverExpanse services. Confidential information includes, but is not limited to, technical specifications, pricing, business processes, and proprietary data.
Confidential information may not be disclosed to third parties without the prior written consent of the disclosing party, except as required by law or regulation. This obligation survives the termination of any agreement between the parties.
8. Disclaimers & Warranties
Our websites and informational content are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, EverExpanse makes no representations or warranties of any kind, express or implied, including but not limited to:

Warranties for specific deliverables, software, or services are governed by the applicable client agreement or Statement of Work entered into between EverExpanse and the client.

To the maximum extent permitted by applicable law, EverExpanse, its directors, employees, partners, agents, and suppliers shall not be liable for any:
Indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, goodwill, or business opportunities
Damages arising from your inability to use our websites or services
Damages resulting from any unauthorised access to your transmissions or data
EverExpanse's total liability in connection with any claim arising from the use of our websites shall not exceed the amount paid by you to EverExpanse in the three months preceding the event giving rise to the claim, or INR 10,000 / USD 100 (whichever is applicable), whichever is greater. Specific service agreements may include different liability caps.
10. Indemnification
You agree to indemnify, defend, and hold harmless EverExpanse, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:
Your breach or alleged breach of these Terms
Your violation of any applicable law, regulation, or third-party rights
Your use or misuse of EverExpanse's websites, content, or services
11. Third-Party Links & Services

12. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India for engagements with EverExpanse Private Limited, and the laws of the State of Texas, USA for engagements with EverExpanse LLC, without regard to conflict of law principles.
In the event of any dispute arising out of or in connection with these Terms or our services, the parties agree to:
Good-faith negotiation — the parties will first attempt to resolve the dispute through informal discussion within 30 days of written notice
Arbitration — unresolved disputes shall be submitted to binding arbitration under the applicable rules of the arbitral authority in the relevant jurisdiction (India or USA). The language of arbitration shall be English
Jurisdiction — for matters not subject to arbitration, you consent to the exclusive jurisdiction of the courts of Pune, India or Austin, Texas, USA, as applicable
Nothing in this clause prevents either party from seeking emergency injunctive relief in any court of competent jurisdiction.
13. Changes to These Terms
EverExpanse reserves the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page. We may also notify users through email or website notices for significant changes.
Your continued use of our websites or services after changes are posted constitutes your acceptance of the revised Terms. If you disagree with any changes, you should discontinue use of our websites and services and notify us at info@everexpanse.com.

Entire Agreement: These Terms, together with our Privacy Notice, Cookie Policy, and any applicable service agreements, constitute the entire agreement between you and EverExpanse.
